Rosen Sounds License Agreement
Effective upon purchase or download
By purchasing or using any sample pack from Rosen Sounds, you agree to the terms of this Sample Pack License Agreement.
This sample pack (“Pack”) was created by Zak Leever Music LLC in collaboration with Rosen Sound LLC (“Licensors”).
By purchasing, downloading, or using the Pack, the user (“Licensee”) agrees to the terms below.
1. Grant of License (Royalty-Free Use)
Licensors grant Licensee a non-exclusive, non-transferable, perpetual license to use the included sounds (“Samples”) solely as incorporated into new musical works and audio-visual productions.
Samples may be used royalty-free in:
- Independent music releases
- Streaming platform releases (e.g., Spotify, Apple Music, Bandcamp)
- DJ sets, remixes, live performance
- Social media content
- Client work and commissioned productions
This license allows commercial exploitation only as expressly permitted below.
All rights not expressly granted are reserved by Licensors.
2. Commercial Use Restrictions (Clearance Required)
This license DOES NOT permit use of the Samples in the following contexts without obtaining a separate written Commercial License from Rosen Sound:
- Releases distributed by or through any major label or major label affiliate, including but not limited to Universal Music Group, Sony Music Entertainment, Warner Music Group, or their subsidiaries
- Any sync placement, including film, television, advertising, trailers, video games, broadcast, theatrical, or national commercial use
- Any production(s) that generates more than $5,000 USD in gross revenue attributable to the recording
- Any production(s) that exceeds 1,000,000 cumulative streams across all digital streaming platforms
- Any physical release(s) exceeding 500 manufactured units

Licensee agrees to contact Rosen Sound at contact@rosensound.com to negotiate a Commercial License before such use.
Failure to obtain clearance constitutes unauthorized use and copyright infringement.
3. Credit
Licensors reserve the right to request reasonable production credit where Samples form a material or recognizable component of a commercially exploited work.
4. Prohibited Uses
Licensee may NOT:
- Resell, sublicense, loan, share, gift, or redistribute Samples as standalone files
- Include Samples in any competing sample library, sound pack, preset pack, or sound effects collection
- Create derivative sample packs or isolated sound products from the Samples
- Claim ownership or authorship of the Samples
- Use Samples in isolation or in a manner that allows third parties to extract them
5. Ownership
All Samples remain the exclusive intellectual property of Zak Leever Music LLC and Rosen Sound LLC. This Agreement grants a license to use — not ownership.
6. Termination
This license automatically terminates upon any breach of its terms.
Upon termination:
- All rights granted to Licensee immediately cease
- Continued use constitutes willful copyright infringement
- Licensors may pursue injunctive relief, damages, takedowns, and licensing fees
7. Limitation of Liability
Samples are provided “as-is.” Licensors shall not be liable for:
- Lost profits
- Indirect or consequential damages
- Third-party claims arising from Licensee’s use of the Samples
8. Indemnification
Licensee agrees to indemnify and hold Licensors harmless from any claims, damages, or expenses arising from Licensee’s misuse or unauthorized exploitation of the Samples.
9. Governing Law and Venue
This Agreement shall be governed by the laws of the State of California. Any dispute shall be resolved exclusively in Los Angeles County, California. The prevailing party shall be entitled to reasonable attorney’s fees and costs.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding use of the Samples.
